
Tempus AI is set to acquire Personalis, a cancer genomics testing firm, in a strategic move valued at approximately $1.5 billion. This acquisition aims to enhance Tempus AI's capabilities in the rapidly expanding minimal residual disease (MRD) testing market, projected to be worth $20 billion.
Under the terms of the agreement, Tempus AI will purchase all outstanding shares of Personalis at $16.25 each, reflecting a premium over recent stock prices. The deal is primarily an all-stock transaction, though Tempus has the option to use cash for part of the payment. Both companies' boards have approved the acquisition, which is expected to finalize between late 2026 and early 2027, pending shareholder and regulatory approvals.
The acquisition focuses on Personalis's MRD testing technology, "NeXT Personal," which detects circulating tumor DNA (ctDNA) to monitor cancer therapy responses and identify residual cancer cells. This technology has already gained Medicare coverage for several cancer types, indicating its potential impact on patient care and treatment strategies.
As the MRD testing market continues to grow, Tempus AI aims to leverage this acquisition to solidify its position in precision oncology. With an estimated 2.1 million new cancer diagnoses projected in the U.S. for 2026, the demand for advanced diagnostic tools like NeXT Personal is likely to increase. However, concerns about profitability, as highlighted by analysts, may pose challenges for Personalis moving forward.
